While the website displays a blank page, I located the NACD ByLaws of July 2013 on their facebook page.

It now has a Dissolution paragraph.

Does anyone else have any idea of what other changes were made?

And if their 501 c (3) status is expired (I'm told they haven't filed returns for years, and the IRS only gives you 3), they can't take or spend any money. If they do, the board and especially the president can go to tax jail.

Their last posted 990 is 2013,but that doesn't mean that 2014 hasn't been filed, If you look at the sunbiz.org site, their corporate status is still active if you look at document 726459. This document may also define who is the present board of directors since that last election was nullified. At this point my main concern is for the sustaining funds that were donated by members earmarked specifically for the purpose of buying a property. I am sure by decree this money could be shifted to a general fund, but would hope the NACD would use the money as intended,or contact the donors if they would like it refunded.

Erm, yeah - and one of the reasons that several people, including me, have requested an audit . . . .

Unless you are an NACD member, your requests will go unheard if you read the bylaws. There is a mechanism in the bylaws to allow viewing of the financial records, and there have been comments to this effect, but nothing has been done, because nobody has followed the formal process. Have you initiated this process? Note bylaw 10.04

I was a payed member one who believed in the NACD.
I delayed training for a year to get my NACD Cave certification.
In the time since the "train wreck" as Jax calls it has lead me to no longer support the agency.
Whatever the problem I no longer care, " Give a ****"!
Whatever reputation the once great NACD had is forever tarnished.

Can it be saved?
Not with the current players twisting, manipulating, maligning, lawyer threatening, etc.
I will hope but no longer will invest any cash or emotion in this mess.
From FB, CDF, SB, and what other forums or boards the battle will end one of these days!

Reactions: Jax
On 2/15/16 an amended report was filed with the secretary of State of Florida. The President is Rick Murcar, the Sec/Treas is Don Syme, and another director is Chris Corbett. The Agent did not change. On the previous report dated January 24, 3 weeks prior, Larry Green was a director. The board was within their rights to remove Larry in the manner that they did.

Their year end is December, so they should have records for 2014 on file. I can't find them anywhere, but that isn't important. They aren't in danger of losing tax exempt status for another year...

The problem is, who defines "proper purpose"? And swearing what oath? To whom? Who has the right to take that oath?

Stolen from someone else:

Articles of Incorporation, State Law, and Federal Law all trump Bylaws (in that order). Florida State Law allows members of a non-profit organization to inspect the financial records of that organization on demand. Those refusing to allow inspection can be compelled to pay the legal costs and fees of a member pursuing access to those documents through the courts.
